There is no obligation under the Program to make purchases of Allergan Aesthetics products, which at all times are subject to Allergan Aesthetics’s standard Terms and Conditions of product sale. Where the Customer chooses to purchase any Allergan Aesthetics product included in the Program (see Program Rules) and complies with Allergan Aesthetics’s Terms and Conditions of product sale and Allergan Direct requirements, the Customer may, subject to the Terms and Conditions of the Program, earn points and receive discounts on the purchase price of products, in accordance with the Program Rules. The Program is subject to withdrawal or change at any time at the sole discretion of Allergan Aesthetics. Allergan Aesthetics reserves the right to communicate additional or varied Terms and Conditions and Program Rules from time to time as required. Allergan Aesthetics has the right to immediately suspend or terminate a customer’s participation in the Program. Where the Customer seeks or obtains reimbursement from any government entity or other private health plan for any indications of BOTOX® (botulinum toxin type A) or any other Allergan Aesthetics products listed in the Program Rules, those purchases of BOTOX® or other products are not treated as purchases for the purpose of the Program Rules.
In addition to its rights under Allergan Aesthetics’s Terms and Conditions of product sale, and to the extent permitted by law, Allergan Aesthetics, acting in good faith, may at any time on notice, exclude some or all product purchases by one or more Customers for the purpose of the Program Rules including where amounts owing to it by a Customer for product purchases are overdue or the Customer has otherwise not complied with the Terms and Conditions of product sale. The Program allows points to be earned on product purchases and the price to be discounted of products purchased in the future by clinic businesses (individuals and companies) who have met Allergan Aesthetics’s requirements for acceptance and establishment of a Customer Account, and continue in good standing as an Allergan Aesthetics Customer. Purchases of Allergan Aesthetics products under the Program are intended for use and not for resale or distribution. Where a Customer Account is closed or ceases, or becomes inactive, for any reason, including the sale, merger or closure of clinic businesses, points earned on past qualifying purchases by the Customer are not able to be transferred or accumulated. You grant us a non-exclusive, perpetual licence to use the Program Data for the purposes of administering the Program. Program Data means all data and information (whether or not confidential) relating to your Customer account in whatever medium when processed as part of the Program services. Your privacy is important. Our Privacy Policy at allergan.com.au/en-au/privacy (Australia) and allergan.co.nz/en-nz/privacy (New Zealand) explains how we handle the personal information that we may collect in relation to our conduct of the Program and your account. To the extent that any Program Data we collect constitutes personal information, we will ensure that this data is collected, used, stored, disclosed and handled in accordance with applicable privacy laws and our Privacy Policy. You consent to Allergan Aesthetics contacting you in relation to the Program and your account. Nothing in these Program Terms and Conditions or the Program Rules limits your rights under the Australian Consumer Law. Except for those statutory rights (including any statutory guarantee), Allergan Aesthetics does not accept any liability including for negligent acts and omissions with respect to the Program, and our liability will be limited to re-supply of the Program services. All questions or disputes regarding the Program, the Program Terms and Conditions, and Program Rules, must be made within 3 months of the end of the Program year in which the matters giving rise to the dispute have occurred. All disputes will be resolved by a determination of Allergan Aesthetics acting in good faith and its sole discretion. You are solely responsible for any government tax, duty or other charge imposed by law in any country in respect of the Program, in respect of purchase and use of the Products. These Program Terms and Conditions and the Program Rules, and information provided at Allergan Direct websites about your account are confidential, and must be kept confidential and not disclosed or used by Allergan Aesthetics Customers (or permitted recipients) for any purpose other than in relation to giving effect to the Program. |

The Program Rules are as set out in this document as they appear on the Allergan Aesthetics Direct website from time to time. Australia: allergandirect.com.au and New Zealand: allergandirect.co.nz The Program period is for the calendar year of 1 December to 30 November. Account Statuses are determined at the beginning of each year, based on points earned in the prior year. Any additional loyalty points earned during the year apply to determining the current year’s Status. Points are reset every year. Points will not accrue (or any discount awarded) in relation to any products that are returned by Customers to Allergan Aesthetics, or provided free of charge by Allergan Aesthetics to Customers. Instant savings mean that based on your account Status at the time of the product purchase order, the discount percentage off the product list price is applied to the invoice issued to your account. CoolSculpting® discounts apply on full cycle CoolSculpting® Cards purchases only. Product savings which apply if purchasing products in specified minimum purchase quantities or other conditions only apply to each single invoice, and the corresponding product and purchases cannot be accumulated or split. Upgrades can occur at any time during the year. When your account attains the points required for the next Status, the new Status takes effect when updated in Allergan Direct (usually within 24 to 48 hours after the qualifying purchase order is placed). At mid-year (31 May), if your account’s points during the period have reached the 50% threshold for the next Status, your account will be upgraded to that Status and you will receive the associated benefits applicable to that Status provided that other qualifying criteria for that Status are met.
